GENERAL TERMS

The ZURGLE video platform allows you to watch and upload videos. ZURGLE provides this service for free without commercials or advertisements. Video uploaders are required to register for an account. Viewers can access our platform with or without an account (except videos that require age verification). Our platform allows you to watch, share, upload, discover, and connect with viewers and video uploaders from around the world.
USING ZURGLE
In connection with using or accessing our Services you agree to comply with the Terms Agreement, our policies, our terms, and all applicable laws, rules, and regulations Set forth are prohibited on the platform. Any right not granted to you in the Terms Agreement remains the right of the ZURGLE CORPORATION. Using this service does not give you, the user, ownership of any intellectual property rights in the content that you access on this platform.
CHANGES TO THE SERVICE AGREEMENT AND/OR PLATFORM
ZURGLE is constantly improving, changing, and modifying our service and platform. We may need to alter the service, or in part, in order to make performance, security improvements, prevent illegal activity, prevent abuse of the service, and etc. We will provide notice whenever possible, however we may have to make immediate changes without warning. This may result in changes to some or all parts of our services and/or platform.
CONTENT
When you provide content using our Services (directly or indirectly), you grant ZURGLE CORPORATION a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise any and all Intellectual Property Rights you have in that content in connection with our provision, expansion, and promotion of our Services, in any media known now or developed in the future. You represent and warrant that, for all such content you provide, you own or otherwise control all necessary rights to do so and to meet your obligations under the Terms Agreement. You represent and warrant that such content is accurate. You represent and warrant that use of any such content (including derivative works) by us, our users, or others in contract with us, and in compliance with the Terms Agreement, does not and will not infringe any Intellectual Property Rights of any third party. We take no responsibility and assumes no liability for any content provided by you or any third party.
We offer product data (including images, descriptions and specifications) that are provided by third parties which includes ZURGLE users. You may use that content solely in your ZURGLE listings. We may modify or revoke that permission at any time in our sole discretion. The product data includes copyrighted, trademarked and other proprietary materials. You agree not to remove any copyright, proprietary, or identification markings in the product data and not to create any derivative works based on that data (other than by including the data in your listings).
We try to offer reliable product data, but cannot promise that the content provided through our Services will always be available, accurate, complete, and up-to-date. You agree that ZURGLE is not responsible for examining or warranting the listings or content provided by third parties through our Services
UPLOADING CONTENT
If your ZURGLE video platform account you may be able to upload Content to the platform. You may use your Content to promote your business or artistic enterprise. If you choose to upload Content, you must not submit to the Service any Content that does not comply with our Terms Agreement and all local, state, federal, and international. law. The content that you upload must not include third-party intellectual property, such as copyrighted material, unless you have permission from that party or are otherwise legally entitled to do so. You are legally responsible for the Content you submit to the Service. We may use automated systems that analyze your Content to help detect infringement and abuse, spam, malware, and illegal content.
YOUR RIGHTS AND RIGHTS YOU GRANT
You retain all of your ownership rights in your Content. However, we do require you to grant certain rights to ZURGLE CORPORATION and other users of the Service. You have the right to remove your content at any time with or without reason. You are required by ZURGLE to remove your content if you no longer have the rights required by these terms.
LICENSE TO ZURGLE
By providing Content to the Service, you grant to ZURGLE a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use that Content which includes the ability to reproduce, distribute, modify, display and perform it) for the purpose of operating, promoting, and improving the platform.
LICENSE TO OTHER USERS

DURATION OF LICENSE

CONTENT, UPLOAD, UPLOADER(S), AND USER(S)
“Content“- shall mean, depending on the context in which it is used, original Uploader-generated content OR original MEMBER-generated content (or both). Content includes pictures, videos (pre-recorded or live streaming), and other materials, including, but not limited to, text, images, graphics, data, audio, messages (including online chat), Live Streams, comments, memberships, gratuities, and tangible goods provided, sold, offered, or posted by sellers onto the Platform from time to time. CONTENT INCLUDES tangible goods provided, sold, offered, or posted by Uploaders or MEMBERS onto the Platform from time to time.
UPLOAD: is when an uploader publishes, broadcasts, shares, and offers Content, including Live Stream on the ZURGLE.COM platform.
UPLOADER(s): shall refer to the performers, independent model, Studios, and other Content producers, registered as such on the Platform and Uploading their original Content onto the Platform for personal use by the USER(S). If you are seller you are referred to as an uploader(s), and must register your account as a seller account. As a seller you cannot upload any contact for on a buyer account.
USER(S): User(s) who can be referred to as second-person pronouns such as: “you”, “your”, “yours”, shall mean the individuals using the Platform for their personal use, to the exclusion of Uploader(s).
DOWNLOADABLE SOFTWARE
Some software used in our Service may be offered under an open-source license. When the Service requires or includes downloadable software, such as the ZURGLE application, you give us permission for that software to update automatically on your device once a new version or feature is available which is subject to your device settings. Unless that software is governed by additional terms which provide a license. ZURGLE gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by ZURGLE as part of the Service of the ZURGLE video platform. This license is for the sole purpose of enabling you to use the benefit of the Service as provided by ZURGLE, in the manner permitted by the User Agreement. You prohibited to copy, modify, distribute, sell, or lease any part of the software, or to reverse-engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have ZURGLE CORPORATIONS’s written permission. Any violations of this policy can result in an immediate termination of your account and criminal and civil prosecution.
BANNED UPLOADER: If a video uploader is ever banned from the ZURGLE video platform, for any reason, their content will be removed and unavailable in the future. ZURGLE will not issue a refund for buyers who have already purchased the merchandise and will not issue a reimbursement in cases where products become unavailable due to the uploader being banned. Users acknowledge that they alone assume the risks they take accessing a video when uploaded to zurgle.com. Uploaders who are banned will not be allowed to open another ZURGLE account on any platform. This includes any and all ZURGLE affiliates and/or subsidiaries. ZURGLE reserves the right to take civil action and/or criminal prosecution if this policy is violated. ZURGLE CORPORATION reserves the right to take legal action on a banned member who tries to open any and all new account(s). However, a banned uploader may still continue to use they video platform, to view videos only, but will not be permitted to open an account to upload content.
BANNED USER/MEMBER: If a user/member is banned from the ZURGLE video platform, for any reason, their account will be permanently unavailable for future logins. Users/members who are banned will not be allowed to open another zurgle.com account on any platform. This includes any and all ZURGLE affiliates and/or subsidiaries. ZURGLE reserves the right to take civil action and/or criminal prosecution if this policy is violated. ZURGLE CORPORATION reserves the right to take legal action on a banned user/member who tries to open any and all new account(s). However, a banned user/member may still continue to use they video platform without being able to register an account, but will not be permitted to open an account.
TERMINATIONS
TERMINATIONS: You have the right to stop using the service and platform at any time. ZURGLE has the right to terminate an account at any time with or without reason. In case an account is terminated the seller will be given a 30-calendar day notice. If an uploader/user violates our policy, breaks any local, state, and federal law or uses the platform for illegal activity ZURGLE reserves the legal right to terminate the account without warning. Once an account is terminated the seller cannot register a new account and is permanently banned from using zurgle.com and any affiliates and subsidiaries. THE UPLOADER/USER/MEMBER AGREES TO ASSUME SOLE RESPONSIBILITY FOR ALL RISKS, CONSEQUENCES, AND DAMAGES OF ANY KIND RESULTING FROM HER/HIS/ITS USE OF THE PLATFORM NOT RESULTING FROM ZURGLE’S ACT.
RELEASE AND INDEMNITY
RELEASE: If you have a dispute with one or more users, you release ZURGLE, its, affiliates, and subsidiaries, and our and their respective officers, directors, employees and agents from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. You agree that you will not hold ZURGLE legally liable in any and all civil and criminal lawsuits which may arise between you and one or more users.
You agree that in entering into this release, you expressly waive any protections (whether statutory or otherwise) that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.
INDEMNITY: You agree that you will indemnify and hold ZURGLE CORPORATION, its affiliates, and subsidiaries, as well as our and their respective officers, directors, agents, and employees, harmless from any claim or demand, including reasonable legal fees, civil lawsuits, criminal actions and/or lawsuits made by any third party due to or arising out of your breach of this User Agreement, your improper use of our Services or your breach of any law or the rights of a third party.
